1. Agreement to Terms

These Terms of Service ("Terms") govern your access to this website and your engagement with SkySoft (Sky Software) ("SkySoft", "we", "our", or "us") for software development services.

By using this website, contacting us through the contact form, or engaging us for a project, you agree to be bound by these Terms. If you do not agree, please do not use the site or contact us.

If you are contacting us on behalf of a business or organisation, you represent that you have authority to bind that entity to these Terms.

2. Services

SkySoft is a software development studio that designs, builds, and maintains custom software systems for businesses — including but not limited to CRM platforms, payment systems, booking and scheduling applications, business automation, websites and apps, and AI & AI Agent integrations.

We work on a project basis: each engagement is defined by a separate proposal or agreement (see Section 3), not a subscription or off-the-shelf product. We reserve the right to change the services we generally offer at any time; such changes do not affect projects already agreed.

3. Engagement & Project Process

These Terms govern use of the website and the general framework for working with us. The specific scope, timeline, price, and intellectual property terms of each project are set out in a written proposal or statement of work (SOW) agreed by both parties — including agreement confirmed by email. Where a specific project agreement conflicts with these Terms, the project agreement controls.

To help us deliver on time and to the expected standard, you agree to provide accurate and complete information about your needs, timely feedback and access to any systems or content required, and to be reasonably available during the project. Delays on your end may affect the agreed timeline.

4. Payment Terms

Payments for our services are made directly to us (this site does not use a third-party payment processor), in accordance with the terms set out in the applicable proposal, agreement, or invoice — including currency, payment milestones (e.g. deposit / interim / final payment), and due dates.

Unless otherwise stated in the specific agreement, an invoice not paid by its due date may accrue reasonable late-payment interest and/or result in work being paused until payment is resolved.

5. Cancellations & Refunds

As a general rule, and unless otherwise agreed in writing: payments for work already performed (hours worked, milestones completed) are non-refundable. A deposit paid to reserve a project start date is non-refundable once work has begun, unless otherwise agreed in advance.

Either party may terminate an active project engagement with written notice, subject to the specific cancellation terms in the project agreement. For questions about an existing project, contact us at hello@skysoft.co.il.

6. Acceptable Use of the Site

You agree not to use this website to:

• Violate any applicable laws or regulations.
• Infringe any third-party intellectual property, privacy, or other rights.
• Transmit malicious code, spam, or unsolicited communications — including through the contact form.
• Attempt to gain unauthorised access to the site or our infrastructure.

7. Intellectual Property

All content, code, branding, and materials on this website are the property of SkySoft and are protected by applicable intellectual property laws.

For development work carried out for you under a project: ownership of the intellectual property in the final deliverables is set out in the specific project agreement, and absent other written agreement, IP rights in the custom deliverables built specifically for you transfer to you upon full payment for that work. SkySoft retains ownership of its own tools, code libraries, templates, and general know-how developed independently of your project, even where used in delivering your work.

8. Confidentiality

In the course of working together, we may each disclose non-public business, technical, or commercial information to the other. Each party agrees to keep the other's confidential information confidential, to use it only to perform the engagement between us, and not to disclose it to third parties without prior written consent — except as required by law. This obligation survives termination of the engagement.

9. Privacy Policy

Your privacy matters to us. This section explains how SkySoft collects, uses, and protects your personal data.

What We Collect

• Contact details: name, phone number, email, and message content you provide through the contact form.
• Technical data: IP address, browser type, and timestamps, collected automatically by our hosting provider (Cloudflare) for security, performance, and troubleshooting.
• Billing data: if you engage us for a project, billing information you provide directly to us for invoicing and payment coordination.
• Communications: messages you send us via email or the contact form.

How We Use Your Data

• To respond to inquiries and provide quotes.
• To deliver and support work we've carried out for you.
• To issue invoices and manage payments.
• To comply with legal obligations (e.g. accounting and tax).

Data Sharing

We do not sell your personal data. We share data only with:

• Formspree — the form provider that delivers contact-form submissions to us.
• Cloudflare — our website hosting and security provider.
• Law enforcement or courts — when required by law.

Data Retention

We retain your data for as long as needed for correspondence, service delivery, and legal obligations (e.g. accounting). You may request deletion of your data by contacting us.

Your Rights

Security

We implement reasonable security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security.

10. Cookies & Local Storage

Our website uses cookies and similar local storage technologies in your browser for the following purposes only:

• Language preference: saved in local storage to remember whether you prefer to view the site in Hebrew or English.
• Cookie consent: saved in local storage to remember your choice on the cookie banner so it isn't shown again.

We do not use advertising, tracking, or third-party analytics cookies. Our hosting provider (Cloudflare) may set minimal technical cookies necessary for site security and performance.

You can manage or delete cookies and local storage at any time through your browser settings. Note that clearing them will reset your language preference and show the cookie banner again.

11. Disclaimers & Limitations of Liability

This website and its content are provided "as is" and "as available" without warranties of any kind, express or implied. Any specific warranty on commissioned development work (such as a post-delivery support period) is set out in the relevant project agreement.

To the fullest extent permitted by law, SkySoft shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of this website or your engagement with us.

Our total liability to you under a given project shall not exceed the amounts actually paid by you to SkySoft for that project.

12. Termination

Either party may terminate an active project engagement in accordance with the terms set out in the specific project agreement (see Section 5, Cancellations & Refunds).

We may restrict or terminate your access to this website at any time if you breach these Terms, engage in fraudulent activity, or for any other reasonable cause.

Provisions that by their nature should survive termination — including intellectual property, confidentiality, disclaimers, and limitations of liability — will survive.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to conflict-of-law principles. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts of Israel.

We reserve the right to update these Terms from time to time. We will indicate material changes by updating the date at the top of this page. Continued use of the site after changes take effect constitutes acceptance of the updated Terms.
