1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the software products, websites, and services (collectively, "Services") provided by SkySoft (Sky Software) ("SkySoft", "we", "our", or "us").

By creating an account, making a purchase, or otherwise accessing our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

If you are using our Services on behalf of a business or organisation, you represent that you have authority to bind that entity to these Terms.

2. Services

SkySoft designs, develops, and operates custom software systems for businesses, including but not limited to CRM platforms, payment systems, booking and scheduling applications, business automation, and AI & AI Agent integrations.

We reserve the right to modify, suspend, or discontinue any Service (or any part thereof) at any time with reasonable notice. We will not be liable to you or any third party for such changes.

3. Accounts & Access

To use certain Services, you must register for an account. You agree to:

• Provide accurate and complete information during registration.
• Keep your credentials confidential and not share them with others.
• Notify us immediately at hello@skysoft-systems.com if you suspect unauthorised access.
• Be responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Payments & Billing

Payments for our Services are processed by Paddle.com Market Limited ("Paddle"), our Merchant of Record. When you purchase a subscription or one-time product, you are transacting with Paddle, who handles billing, invoicing, and tax compliance on our behalf.

Subscription Plans

Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan you select). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

Price Changes

We may change pricing at any time. For existing subscriptions, we will provide at least 30 days' advance notice of any price increase. Continued use of the Service after the price change takes effect constitutes your agreement to pay the updated amount.

Taxes

Paddle collects and remits applicable taxes (VAT, GST, sales tax, etc.) as required by law in your jurisdiction. Prices may be displayed with or without tax depending on your location.

5. Refund Policy

Eligibility

• Refund requests must be submitted within 14 days of the initial purchase or subscription start date.
• The guarantee applies to first-time purchases of each product. Renewal charges are non-refundable.
• One-time purchases (non-subscription) are eligible for a refund within 14 days if the product has not been substantially used.

How to Request a Refund

Email us at hello@skysoft-systems.com with your order ID and the reason for your request. We will process eligible refunds within 5–10 business days. Refunds are issued to the original payment method via Paddle.

Exceptions

We reserve the right to decline refund requests that show evidence of abuse, fraud, or violation of these Terms.

6. Acceptable Use

You agree not to use our Services to:

• Violate any applicable laws or regulations.
• Infringe any third-party intellectual property, privacy, or other rights.
• Transmit malicious code, spam, or unsolicited communications.
• Attempt to gain unauthorised access to our systems or other users' data.
• Reverse-engineer, decompile, or disassemble any part of our software.
• Resell or sublicense our Services without our express written consent.

7. Intellectual Property

All content, code, branding, and materials within our Services are the property of SkySoft or its licensors and are protected by applicable intellectual property laws. Your use of our Services does not grant you ownership of any such content.

You retain ownership of any data or content you submit to our Services. By submitting content, you grant us a limited licence to host, store, and process it solely to provide the Services.

Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitations of liability) will survive.

These Terms are governed by and construed in accordance with applicable law. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in SkySoft's jurisdiction of incorporation.

We reserve the right to update these Terms at any time. We will notify users of material changes by email or prominent notice within the Service. Continued use after changes take effect constitutes acceptance of the updated Terms.
